Dutch semiconductor company Nexperia issued a statement on November 5th, saying that it has suspended the supply of wafers to its Chinese factories because its Chinese subsidiary refused to pay for the goods. Nexperia is owned by Wingtech Technology Co. of China and mainly supplies power control chips used by automakers ranging from the Volkswagen Group to the BMW Group. The company informed its customers on October 29th that it would stop directly supplying wafers to its assembly plant located in China.
Nexperia said in a statement later on Wednesday that its entity in China has ceased operations within the established corporate governance framework and has ignored the instructions of its global management.
Nexperia claimed that it is unable to monitor when and whether the products from its Chinese factory can be delivered. Due to the lack of transparency and supervision in the production process, starting from October 13th, we cannot guarantee the intellectual property rights, technology, authenticity and quality standards of the products delivered from Nexperia's China factory.
The Dutch government imposed controls on Nexperia at the end of September due to concerns that Wingtech was weakening the chipmaker and threatening the supply of key components. In response, China has imposed restrictions on the export of Nexperia products. This deadlock has put the supply chain of the automotive industry at risk and forced automakers to slow down production.
Nexperia said on Wednesday that its Chinese subsidiary's refusal to pay for the wafers transported to its factories "is not an isolated case". The company accused its Chinese subsidiary of using the company seal of Nexperia's Chinese entity without justifiable reasons or explanations. Open unauthorized bank accounts and instruct customers to transfer funds to these accounts; It also sent unauthorized letters containing false information to customers, subcontractors, third-party suppliers and employees.
In addition, Nexperia expressed its satisfaction with the US authorities' one-year suspension of the so-called "related party rules". This rule once extended the U.S. export control restrictions to entities held by entities on the U.S. Entity List that hold 50% or more of the shares. Nexperia is a wholly-owned subsidiary of Wingtech Technology Co., LTD. (" Wingtech "), which was placed on the Entity List of the Bureau of Industry and Security (BIS) of the US Department of Commerce in December 2024. Therefore, the "related party rule" might have had an impact on it originally.
Regarding the rumors and speculations about Zhang Xuezheng's return to the position of CEO, Nexperia stated that the company confirmed that according to the ruling of the corporate court on October 7, 2025, Zhang Xuezheng has been suspended from his position as a director. Therefore, Zhang Xuezheng no longer serves as the CEO of Nexperia.
Furthermore, the Chamber of Commerce ruled that almost all the voting rights of Nexperia shares indirectly held by Wingtech Technology have been handed over to the independent administrator designated by the Chamber of Commerce for management.

Company development updates
November 5, 2025
Nexperia released an important update today, detailing the recent developments that have affected its global operations, corporate governance, and supply chain. The company is always committed to maintaining transparency, ensuring business continuity, and safeguarding the interests of global customers, suppliers, employees and stakeholders.

Geopolitical developments and supply chain recovery
Nexperia expressed relief that the US authorities had suspended the so-called "related party rules" for a year.
We also welcome China's commitment to facilitating the resumption of exports for Nexperia's factories in China and its subcontractors, thereby ensuring that key traditional chips can continue to be supplied to the global market. We hope to see more details on the conditions, standards and procedures for easing export restrictions as soon as possible.

Operation interruption
Despite these positive measures, Nexperia's entities in China have ceased operations within the established corporate governance framework and have disregarded the legitimate instructions of Nexperia's global management.
Therefore, we are unable to monitor when and whether the products from Chinese factories can be delivered. Due to the lack of transparency and supervision in the production process, starting from October 13th, we cannot guarantee the intellectual property rights, technology, authenticity and quality standards of the products delivered from Nexperia's China factory.
Therefore, as Nexperia China refused to pay for the wafers, Nexperia announced on October 29, 2025, that it had to suspend the direct supply of wafers to its factories in China. This refusal to pay is not an isolated case. It also includes:
Using the company seal of Nexperia China entity without justifiable reasons or explanations;
Open unauthorized bank accounts and instruct customers to transfer funds to these accounts;
Sending unauthorized letters containing false information to customers, subcontractors, third-party suppliers and employees.

Supply chain resilience
A dedicated team is working urgently to identify and implement feasible paths forward, with the goal of promoting product supply in a sustainable manner.
Please note that Nexperia has not completely halted the shipment of wafers. We are providing alternative supply chain solutions to minimize disruptions and maintain the continuity of delivery as much as possible. All other production bases of Nexperia - including those located in Europe and other parts of Asia - are operating normally. All Nexperia products manufactured outside China use genuine Nexperia wafers and certified materials, and are produced in accordance with the Nexperia standards, manufacturing processes and quality systems applicable to the relevant products, and all adopt Nexperia's intellectual property rights. Therefore, these products are completely genuine and comply with relevant standards. These products have been delivered to our customers and will continue to be delivered.
Likewise, we believe that the situation can ease as soon as possible, which is in the best interests of all parties. We will continue to fully commit to our business in China and respect our dedicated Chinese employees, who are an indispensable part of Nexperia's success. Nexperia's business in China, including its production activities in Dongguan, remains crucial to its long-term strategy and success.

Clarification regarding the identity of the CEO and media speculation
Nexperia has noticed the rumors and media speculation about Zhang Xuezheng's return to the position of CEO. The company confirmed that, in accordance with the ruling of the corporate court on October 7, 2025, Zhang Xuezheng has been suspended from his position as a director. Therefore, Zhang Xuezheng no longer serves as the CEO of Nexperia.
Furthermore, the Chamber of Commerce ruled that almost all the voting rights of the Nexperia shares indirectly held by Wingtech Technology have been handed over to the independent administrator designated by the Chamber of Commerce for management.

Any contrary statement is incorrect.
Comply with the orders of the Dutch government
Nexperia will continue to fully comply with the orders of the Dutch government. This order is designed to ensure that Nexperia's production capacity and technology in Europe do not affect normal production or daily operations. However, strategic decisions such as relocating company departments or dismissing senior executives need to be approved by the government, and the validity period of this order is up to one year.
